TopBuild Corp sold Bellis Australia to its managing director

The parties

TopBuild Corp is a Florida-based installer and distributor of insulation and building products, serving homebuilders and contractors across the United States and Canada.

Bellis Australia is a Brisbane-based mechanical insulation distribution and fabrication business serving the oil, gas, mining, marine, defence, and commercial sectors. It was TopBuild’s Australian operation.

Reid Ossington is Bellis Australia’s managing director and acquired the business from TopBuild.

Outcome

TopBuild divested a non-core international asset and sharpened its focus on its installation and distribution operations in the US and Canada. Ossington’s leadership had already strengthened safety, quality, and operational performance at Bellis, which made him a natural buyer to take the business into standalone ownership. He continues to run it as an independent, Australian-owned company.

The structure preserves TopBuild’s commercial relationship with Bellis, with SPI continuing as a key supply partner after close. Customers see no change to the team, service levels, or product offering.

Clairfield acted as exclusive advisor to TopBuild Corporation on the divestment of Bellis Australia.
