JOST Werke SE sells Hyva’s Crane business unit to MUTARES

JOST Werke SE, a global Tier-1 supplier of systems, modules, and components for commercial vehicles with EUR 1,800 million revenue and 7,500 employees, operating in more than 35 countries with sales and production sites across six continents, signed an agreement to sell the Hyva Crane Business Unit to MUTARES SE & Co. KGaA, the listed private equity holding company.

Under the umbrella brand JOST World, Jost Werke designs, manufactures and distributes fifth-wheel couplings, landing gears, kingpins, steering and suspension systems, trailer axles, container equipment, hydraulic solutions, and agricultural front loaders and implements through its market-leading brands JOST, ROCKINGER, TRIDEC, QUICKE, and, since 2025, Hyva.

Headquartered in Munich and with offices in Amsterdam, Bad Wiessee, Chicago, Frankfurt, Helsinki, London, Madrid, Milan, Mumbai, Paris, Shanghai, Stockholm, Vienna and Warsaw, Mutares (ETR:MUX) specialises in corporate carve-out acquisitions and operational value creation in the industrial sector.

Hyva’s Crane BU, with over EUR 100 million in annual revenue, comprises three production sites in Italy, Brazil and China and iconic crane brands such as Ferrari and Amco-Veba. Hyva became part of JOST with the wider Hyva Group acquisition closed in 2025.

Extracting the Crane BU from 33 legal entities across multiple jurisdictions and consolidating it into a newly formed company prepared for a share-deal structure made this carve-out one of the most intricate and challenging in Germany to date in 2025.

This divestiture will allow JOST to concentrate on its core component platforms, while MUTARES supports the Crane BU in accelerating its turnaround and expanding its global reach.

“I am very pleased with the progress of the post-merger integration between Hyva and JOST. The swift execution of the cranes divestment will allow us to focus even more on new growth opportunities for our core business and raising the identified synergies to achieve our AMBITION 2030 targets for profitable growth,” says Joachim Dürr, CEO of JOST Werke SE.

“The crane division of Hyva is a promising new platform for our Goods & Services segment, with a globally recognized brand for truck-mounted cranes. Due to recent financial weakness and operational inefficiencies, the business presents an opportunity for a turnaround and a carve-out. With our proven expertise in carve-outs and restructurings, we aim to restore profitability and drive sustainable growth. With a hands-on approach and a long-term investment strategy, we see the company as a valuable addition to the Mutares portfolio,” says Johannes Laumann, CIO of Mutares.

“We are honoured to have guided JOST through this exceptionally complex carve-out. In 2020 Clairfield advised JOST in the EUR 250 million acquisition of Alö/QUICKE from Altor, which marked its successful market entry in the agritech industry. Working hand-in-hand with JOST once again, we navigated every operational and legal hurdle to safeguard more than 400 employees, and ensure a seamless transition to the new owner,” says Albert Schander, managing partner at Clairfield in Germany and deal lead.

Clairfield acted as exclusive financial advisor to JOST Werke. Legal advisors were White & Case; vendor due diligence was prepared by EY Parthenon; and Mutares was advised by CMS.
