Clairfield advises EDIF on the sale of a majority stake to Megawatt Group
The shareholders of EDIF S.p.A. sold a majority stake to Megawatt Group, a leading player in the distribution of electrical equipment in southern Italy.
EDIF S.p.A., based in Corridonia (Macerata), has been active for over thirty years in the distribution of electrical, lighting, and thermo-hydraulic material along the Adriatic coast with 25 stores and one logistics hub, throughout Emilia Romagna, Marche, Umbria, Abruzzo, and Molise. In 2020 EDIF recorded a consolidated turnover of EUR 106 million.
The transaction is part of the growth strategy launched by the Marigliano family in central and southern Italy with the aim of consistently expanding the reference market of Megawatt Group, consolidating the already solid current competitive positioning. Under the agreement EDIF will maintain its own identity, company name, and management team, while integrating synergistically with the experience and know-how of the Megawatt Group. The Verdicchio/Rosini family will remain in the company and, together with the new ownership, will continue in the day-to-day management of Edif S.p.A.
Clairfield Italy had previously advised EDIF on the sale of its Puglia-based business unit to Sonepar Italia S.p.A. in 2018.
“After pondering the choice for a long time, I have decided to sell my stake in EDIF to a recognized player in the sector for whom I have a sincere esteem and who will guarantee an even richer future to the company I have built thanks to the valuable contribution of all employees and collaborators.”
-Umbertina Verdicchio, the founder of Edif S.p.A.
The shareholders of EDIF S.p.A. were advised by Equita K Finance, the Italian partner of Clairfield International and part of the Equita Group. Legal advisors were Studio Russo De Rosa Associati.
